How to Spot Trouble Before You Waste Time (or Sign a Bad Deal)
Even when a company looks good on paper, not every licensing conversation leads to a good deal. Some opportunities just aren't what they seem — and the sooner you can spot the warning signs, the more time, energy, and money you'll save.
When you're excited to get your IP licensed, it's easy to overlook early clues that a potential partner might not be the right fit. That's why it's critical to watch for red flags before you move too far down the road.
Let's walk through the most common warning signs and how to spot them.
🚩 Red Flag #1: Lack of Follow-Through
If a company keeps rescheduling meetings, doesn't return emails, or goes silent after promising to get back to you, take note. Early communication is a strong indicator of how they'll handle a licensing relationship.
Consistent delays during the negotiation phase are often a sign they're not ready — or not serious.
🚩 Red Flag #2: Vague or Overly Eager Promises
Be cautious if a potential partner seems too excited too quickly, especially if they don't ask detailed questions about your IP. “We'll take it global!” sounds great — but without a clear plan, it's just talk.
On the flip side, some companies are vague about what they want or what they can deliver. If they can't clearly describe how they'd commercialize your IP or what kind of deal they're looking for, that's a sign they haven't thought it through.
🚩 Red Flag #3: No Clear Distribution or Sales Plan
If your IP involves a product or technology, the partner should have a way to bring it to market — through sales channels, distribution, marketing, or existing customer relationships. If you ask how they'll sell it and they don't have a real answer, proceed with caution.
A good licensee knows exactly how your IP fits into their business — and how they'll generate revenue with it.
🚩 Red Flag #4: Financial Instability
If a company has limited funding, no clear capital sources, or a history of financial struggles, that's a major risk. They may not be able to fulfill the obligations of a license agreement — even if they want to.
Before you go too far, check for:
-
Company size and revenue history
-
Recent press or news coverage
-
Public reviews or regulatory complaints
🚩 Red Flag #5: High Demands Without Commitment
Be wary of companies that want you to jump through hoops — send prototypes, do custom demos, or give away sensitive IP — before they're willing to commit to anything in writing. It's important to vet a licensee, but the process should be mutual and balanced.
If it feels like they're trying to extract value without offering it, hit pause.
